Mayor Željko Burić and Minister of State Property Goran Marić, in the presence of the Prime Minister of the Republic of Croatia, Andrej Plenković, signed today the Agreement on the regulation of mutual relations between the Republic of Croatia and the City of Šibenik during the implementation of the "Batižela" Development Plan.

"This is the most significant moment in the modern history of the city of Šibenik, because by signing the Agreement we are regulating relations in the area of ​​the TEF, which brings us closer to the goal of putting the most attractive land on the Adriatic into operation. It is the result of painstaking work of the city administration for a full six years with the help of the Ministry of State Property. Before us is the phase of finding investors in the area of ​​TEF," said the mayor and thanked Minister Goran Marić and Prime Minister Andrej Plenković for their involvement in finding a solution to this complex issue.

 "The TEF project, or Batižela, is a project mandated by the Ministry of State Property, and we approached the solution of one of the most complex cases in cooperation with the City of Šibenik. This project will bring economic growth to the city of Šibenik, demographic refreshment and rejuvenation, and I am sure that it will go down in the history of the city," said Minister Marić.

The agreement determined that the total amount of capitalization of Batižele d.o.o., determined by the Decision of the Government of the Republic of Croatia dated May 10, 2019, amounts to HRK 148,115,600.00, of which the City of Šibenik participates with HRK 53,040,600.00, the Republic of Croatia with HRK 67,154,500. HRK .00, the Environmental Protection and Energy Efficiency Fund with HRK 25,852,700.00 and Croatian Water with HRK 2,067,800.00.

After increasing the share capital of Batižele d.o.o. The share of the City of Šibenik will be 67.95% from the initial 100%, and the new shareholders will be the Republic of Croatia with 22.64%, the Environmental Protection and Energy Efficiency Fund with 8.71% and Hrvatske vode with 0.70%.

Upon completion of the recapitalization procedure within 60 days, conditions will be prepared for the announcement of an international public tender, which will be carried out in accordance with the Law on the Management of State Assets ("Official Gazette" No. 52/2018), and which will last at least 60 days. The preparation and implementation of the international public tender will be carried out by a Commission made up of 5 members, of which three members will be nominated by the City of Šibenik, and two members by the Ministry of State Property.

Let us remind you that the City of Šibenik and the Management of TEF d.d., by the decision of the City Council of June 20, 2018, adopted the development project "Batižele" in order to enable all creditors to collect their claims on equal terms, in accordance with normal market conditions.

The decision of the Government of the Republic of Croatia dated August 2, 2018 on the acceptance of the "Batižele" development project and the annulment of the Decision on the transfer of shares of TEF tvornica elektroda i ferroalegura d. d. d. d., Šibenik from 1998 established the obligation to match the amounts of state claims that an increase in the share capital of Batižele d.o.o. will be carried out. by converting the total due state and city claims, according to the "Batižele" Development Project, into shares in the company created in the process of division - separation with establishment.

In November 2018 in the Court Register of the Commercial Court in Zadar - Permanent Service in Šibenik, the establishment of the company Batižele d.o.o. was registered. created in the process of establishment of the registration subject by the division of the TEF d.d. company.

The decision of the Government of the Republic of Croatia dated May 10, 2019 determined the harmonized amount of claims that the Republic of Croatia and other legal entities have against the company TEF-Tvornica elektroda i ferolegura d. d. d. d. final amounts of recapitalization of the company "Batižele" d.o.o.
