The area of ​​220,823 m2 is located at the western entrance to the city of Šibenik, leaning on the historical core, 15 minutes walk from the famous Cathedral of St. Jakov - UNESCO monument.

 

The location of Batižela is an area of ​​220,823 m² located at the western entrance to the city of Šibenik, leaning on the historical core, with 880 meters of coastline, next to the city beach Banj and with an attractive view of the thousand-year-old Šibenik.

The Electrode and Ferroalloy Factory (TEF) was located on this area until 1994, and immediately after its closure, the process of dismantling and ecological rehabilitation began.

By the decision of the Government of the Republic of Croatia from August 2018, the development project "Batižele" was accepted, which proposed the activation of the company's assets with the aim of economic development with active participation and partnership between the City of Šibenik and the Government of the Republic of Croatia, which implied the division of the company TEF Electrode Factory and ferroalloy d.d. Šibenik and increasing the share capital by converting state and city claims into shares in a new company created in the division process.

In the carried out division procedure, a part of the share capital of the company TEF Tvornica elektroda i ferroalegura d.d. was transferred. Šibenik to the new company Batižele d.o.o., in the amount of HRK 148,500,000.00 (19.710.664,28 €), which was registered in the court register of the Commercial Court in Zadar - permanent office in Šibenik in November 2018.

The process of increasing the share capital of Batižele d.o.o., by converting state and city claims into shares, was completed in the court register of the Commercial Court in Zadar - permanent service in Šibenik in April 2020, whereby the share capital of BATIŽELE d.o.o. increased from the amount of HRK 148,500,000.00 to the amount of HRK 296,615,600.00 (39.367.653,46 €).

After the recapitalization procedure, the City of Šibenik has two business shares with a nominal value of HRK 201,540,600.00 / 26.749.034,44 € (67.94% of the share capital), the Republic of Croatia has one business share with a nominal value of HRK 67,154,500.00 / 8.912.933,84 € (22.64% of the share capital), the Fund for environmental protection and energy efficiency, one business share with a nominal value of HRK 25,852,700.00 / 3.431.243,01 € (8.72% of the share capital) and Croatian Water, one business share with a nominal value of HRK 2,067,800.00 / 274.444,22 € (0.70% of the share capital).

The company's bodies consist of 3 bodies, namely the assembly, the supervisory board and the management.

Assembly

The company's assembly consists of the company's members, namely: the City of Šibenik, the Republic of Croatia, the Fund for Environmental Protection and Energy Efficiency, and Croatian Water.

The President of the Society's Assembly is the mayor of Šibenik, Dr. Željko Burić.

Supervisory Board

The Supervisory Board is the body that supervises the management of the Company's business and represents the Company to the Management Board. It consists of three members, two of which are appointed by the City of Šibenik, and one member by the Republic of Croatia.

Members of the Supervisory Board are:

• Jelena Šahirovska - president of the Supervisory Board,
• Robert Šupe - deputy president of the Supervisory Board and
• Gustav Červar - member of the Supervisory Board.

Administration

The Board of the Company consists of one member (director), who is appointed by the Assembly of the Company on the basis of a public tender, for a term of four years.
